Is this a good setup?

I am a HUGE multitasker and my 1.2ghz AMD is about to retire, its 6.5 years old. So I am looking to build my own system. I was wondering what everyone thinks. Im trying to keep it under $300 and Im not sure if im gonna go with a case If I do here is the case (puts it at about $350)...

Otherwise I am gonna reuse my HUGE gateway case Ive got. If this isnt a good setup please give me some input... THANKS!!!

I'm of the opinion to not fuck around with cheap RAM.

What do you do with you PC?

that old psu probably wont work with the new board. does it have the 4 pin P4 power connector?

For the price I'd look at the entry level intel dual core processors.

I had a 3600 am2 that was overclocked to 2.6ghz (around a 5000+) speed and now run an e2200 overclocked to 3.0ghz on a gigabyte ds3l
